1. Agreement to Terms
By accessing or using the MenuVire platform ("Service"), including the web application at app.menuvire.com and all public-facing menu endpoints, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service.
These Terms form a legally binding agreement between you ("User", "Subscriber", or "Business") and Absterco (Pvt) Ltd, incorporated in Sri Lanka, operating MenuVire as a product brand.
2. Description of Service
MenuVire is a Software-as-a-Service (SaaS) platform that provides:
- Digital QR menu creation, hosting, and management
- Online ordering and table management
- Customer loyalty programme management (OTP-based, no app required)
- Multi-branch franchise management tools
- Analytics and reporting dashboards
- SMS campaign tools
- Payment processing integrations via third-party gateways
3. Eligibility
You must be at least 18 years of age and legally capable of entering into a contract under the laws of Sri Lanka to register for or use the Service. Business accounts must be registered by an authorised representative of the business entity.
4. Accounts and Registration
4.1 Account Creation
You must provide accurate, complete, and current information during registration and keep it up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at legal@absterco.com if you suspect unauthorised access.
4.3 Account Responsibility
All activity that occurs under your account is your responsibility, whether or not authorised by you.
5. Subscription Plans and Billing
5.1 Plans
MenuVire offers tiered subscription plans — Starter, Growth, and Business — as well as custom enterprise arrangements. Plan features and limits are described on the pricing page and within the platform dashboard.
- Starter — Core digital menu and analytics tools for new or small businesses.
- Growth — Full POS system, payment integration, SMS campaigns, and loyalty programme for growing businesses.
- Business — Advanced analytics, custom branding, and dedicated account management for established operations and franchise networks.
5.2 Billing
Subscription fees are billed in advance on a monthly basis in Sri Lankan Rupees (LKR) unless otherwise agreed. Prices are as stated at the time of purchase.
5.3 Additional Charges
Branch add-on fees and per-SMS charges are billed in addition to your base plan fee and appear in your monthly total.
5.4 Payment Processing
Payments are processed through Absterco's integrated payment gateway. By submitting a payment you authorise the charge and agree to the gateway's applicable terms.
5.5 Trials
Where a free trial is offered, your plan will not be activated until the trial ends or you initiate an upgrade. We reserve the right to modify or end trial offers at any time.
5.6 Refunds
Subscription fees are non-refundable except where required by Sri Lankan law or at our sole discretion in exceptional circumstances.
5.7 Invoice Accounts
Enterprise accounts managed via invoice are subject to separate written agreements. These Terms apply except where that agreement expressly provides otherwise.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Post or transmit false, misleading, defamatory, obscene, or harmful content
- Infringe the intellectual property rights of any third party
- Send unsolicited bulk communications (spam) to customers enrolled in your loyalty programme
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Reverse-engineer, decompile, or disassemble any component of the Service
- Process transactions for illegal goods or services
- Resell or sublicense access to the Service without prior written consent
7. Content and Data
7.1 Your Content
You retain ownership of all menu content, images, business information, and customer data you submit ("Your Content"). By submitting content you grant Absterco (Pvt) Ltd a non-exclusive, worldwide, royalty-free licence to store, process, and display Your Content solely to provide the Service.
7.2 Customer Data
You are the data controller for your customers' personal data collected through the Service. You are responsible for obtaining all necessary consents and complying with applicable data protection laws.
7.3 Accuracy
You are solely responsible for the accuracy of menu items, prices, allergen information, and all other content you publish.
8. Intellectual Property
The MenuVire name, logo, platform software, design, and all proprietary technology are the exclusive property of Absterco (Pvt) Ltd. Nothing in these Terms transfers any ownership of our intellectual property to you.
9. Third-Party Services
The Service integrates with third-party payment gateways and SMS providers. Your use of those services is subject to their respective terms. Absterco (Pvt) Ltd is not responsible for the acts or omissions of third-party providers.
10. Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We reserve the right to perform maintenance, which we will endeavour to communicate in advance. We are not liable for losses arising from downtime outside of our reasonable control.
11. Suspension and Termination
11.1 By You
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period.
11.2 By Us
We may suspend or terminate your account immediately for breach of these Terms, non-payment, or as required by law.
11.3 Effect of Termination
Access ceases on termination. Your data is retained for 30 days and then may be permanently deleted. Export any required data before termination.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
13. Limitation of Liability
To the maximum extent permitted by Sri Lankan law, Absterco (Pvt) Ltd is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability for any claim shall not exceed the total fees paid by you in the three months preceding the claim.
14. Indemnification
You agree to indemnify Absterco (Pvt) Ltd and its officers, directors, employees, and agents from claims, damages, and expenses (including legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
16. Changes to These Terms
We may update these Terms at any time. We will notify you of material changes by email or platform notice. Continued use after changes are published constitutes acceptance.
